Under this agreement, Delin Holdings conditionally agreed to subscribe for shares at the subscription price on the completion date, while Winner conditionally agreed to issue and allot subscription shares at the subscription price. Delin Holdings and Winner have reached an overall framework and direction consensus on the RWA tokenization plan as part of the strategic cooperation.

The subscription shares represent approximately 0.65% of Winner's existing issued share capital as of the date of this joint announcement, and approximately 0.65% of Winner's enlarged issued share capital after the allotment and issuance of subscription shares. The total amount of funds raised from the subscription transaction will be HKD 29.9 million, with the estimated net amount of funds raised from the subscription transaction being HKD 29.6 million. Under the strategic cooperation and investment agreement, Winner and Delin Holdings also agreed to explore RWA tokenization to create innovative value for Winner shareholders.
